MUTUAL NON-DISCLOSURE AGREEMENT

This Mutual Non-Disclosure Agreement ("Agreement") is entered into as of 13 May 2026 by and between:

  [Party A] ("Party A"), and
  [Party B] ("Party B")

(each a "Party" and collectively the "Parties").

1. PURPOSE
The Parties wish to explore a potential business relationship (the "Purpose") and, in connection with the Purpose, each Party may disclose to the other certain confidential and proprietary information.

2. DEFINITION OF CONFIDENTIAL INFORMATION
"Confidential Information" means any information disclosed by either Party to the other, either directly or indirectly, in writing, orally, or by inspection of tangible objects, that is designated as confidential or that reasonably should be understood to be confidential given the nature of the information and the circumstances of disclosure.

3. OBLIGATIONS
Each Party agrees to: (a) hold the other Party's Confidential Information in strict confidence; (b) not disclose the Confidential Information to any third parties without prior written consent; (c) use the Confidential Information solely for the Purpose; and (d) protect the Confidential Information using at least the same degree of care it uses to protect its own confidential information, but no less than reasonable care.

4. EXCLUSIONS
Obligations under this Agreement do not apply to information that: (a) is or becomes publicly available without breach of this Agreement; (b) was rightfully known to the receiving Party prior to disclosure; (c) is rightfully received from a third party without restriction; or (d) is required to be disclosed by law or court order, provided the receiving Party gives prompt written notice.

5. TERM
This Agreement shall remain in effect for 2 years from the date first written above, unless earlier terminated by mutual written agreement.

6. RETURN OF INFORMATION
Upon request, each Party shall promptly return or destroy the other Party's Confidential Information and any copies thereof.

7. NO LICENCE
Nothing in this Agreement grants any Party a licence or right to use the other Party's intellectual property other than as expressly set out herein.

8. GOVERNING LAW
This Agreement shall be governed by and construed in accordance with the laws of [Jurisdiction].

9. ENTIRE AGREEMENT
This Agreement constitutes the entire agreement between the Parties with respect to the subject matter hereof and supersedes all prior discussions, negotiations, and agreements.
